Terms of Service
These Terms govern your use of the widemem website, the open-source widemem Library, and any Hosted Service we operate. Read them carefully.
widemem is operated by a company incorporated in the State of Delaware, USA ("widemem", "we", "us").
1. Acceptance
By accessing the Site, downloading or using the Library, or using the Hosted Service, you agree to these Terms. If you do not agree, do not use them. If you use them on behalf of an organization, you represent you are authorized to bind it.
2. Definitions
- Library: the open-source widemem software distributed under the Apache License 2.0.
- Hosted Service: any managed or hosted offering we operate for you.
- Site: widemem.ai and its subdomains.
- Output: any data, ranking, summary, or result produced by the software.
- You: the person or entity using the Site, Library, or Hosted Service.
3. The open-source Library
The Library is licensed to you under the Apache License 2.0, whose terms (including its warranty disclaimer and liability limitation) govern your use of the Library's source code. These Terms govern the Site and the Hosted Service and supplement, but do not replace, the Apache 2.0 license for the Library.
4. License to use the Hosted Service and Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Hosted Service and Site for their intended purpose. We may change, suspend, or discontinue any part at any time.
5. Acceptable use
You will not: (a) use the software in violation of law or third-party rights; (b) use it to build or operate anything that provides regulated professional advice without the required licensure and human oversight; (c) attempt to breach security, exceed rate limits, or reverse engineer the Hosted Service; (d) misrepresent the software's capabilities to your own users; (e) upload unlawful content or data you lack the right to process; (f) resell, rent, or offer the Hosted Service to third parties as a standalone service without our written agreement (this does not restrict anything the Apache License 2.0 permits for the Library).
6. Your responsibilities
You are solely responsible for: your deployment and configuration; the data you store and process; obtaining all consents and meeting all regulatory obligations that apply to you (including HIPAA, GLBA, GDPR, and any professional-conduct rules); and the decisions your systems make using the Output. Where you self-host, the compliance boundary is entirely within your environment.
6a. Eligibility and age
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site or Hosted Service. The Site and Hosted Service are intended for businesses and professional developers and are not directed at children. We do not knowingly collect personal information from children under 16. If you believe a child has provided us personal information, contact us and we will delete it.
6b. Export control and sanctions
You represent and warrant that you are not located in, and will not use the software or Hosted Service from, any country or region subject to comprehensive government sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not a person or entity on any government denied-party or sanctions list (including the US OFAC lists). The software may be subject to export-control laws, including the US Export Administration Regulations. You will not export, re-export, or otherwise transfer the software in violation of applicable export-control or sanctions laws.
7. No professional advice; not a decision-maker
The software is developer infrastructure. It is not medical, legal, tax, or financial advice, not a medical device, and not a substitute for a qualified professional or for human review. Output is informational and may be incomplete, outdated, or wrong. You must not present Output to end users as professional advice, and you must keep a qualified human in the loop for any high-stakes decision. You assume all risk of relying on Output.
8. Disclaimer of warranties
THE SITE, LIBRARY, AND HOSTED SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY THAT MEMORY WILL BE RETAINED, RETRIEVED, RANKED, OR FORGOTTEN CORRECTLY. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some of these exclusions may not apply to you if your local law does not allow them.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption; and (b) our total aggregate liability arising out of or relating to the software or these Terms will not exceed the greater of USD 100 or the fees you paid us for the Hosted Service in the 12 months before the claim. These limits apply even if a remedy fails its essential purpose. Nothing in this section limits liability that cannot be limited under applicable law, such as for death or personal injury caused by negligence, fraud, or willful misconduct.
10. Assumption of risk for high-stakes use
If you deploy the software in health, legal, financial, safety, or other high-stakes contexts, you do so at your own risk and accept full responsibility for safeguards, human oversight, validation, and regulatory compliance appropriate to that context.
11. Indemnification
You will indemnify and hold harmless widemem and its officers, contractors, and affiliates from any claim, loss, or expense (including reasonable legal fees) arising from: your use or deployment of the software; your data; your end users; your violation of these Terms or of law; or any claim that your product built with the software caused harm.
12. Data and privacy
Our handling of personal data on the Site and Hosted Service is described in the Privacy Policy. For business customers processing personal data through the Hosted Service, a Data Processing Addendum available on request applies. You are the controller of your end users' data; you are responsible for your lawful basis and consents.
13. Intellectual property
The Library is Apache-2.0. The Site content, the widemem name and marks, and the Hosted Service are our property. Feedback you send us may be used without obligation. Contributions to the open-source project are governed by the repository's contribution terms/license. We will not use your name or logo in our marketing without your permission, and you may not use ours except as trademark law and the Apache License 2.0 allow.
14. Third-party services
The software integrates with third-party providers (for example LLM and embedding providers, vector stores). We are not responsible for third-party services, their availability, or their handling of your data; your use of them is governed by their terms.
15. Availability and support
Unless a separate written enterprise agreement states otherwise, the Hosted Service is provided without any uptime commitment, SLA, or support obligation.
15a. Beta and early-access features
We may offer features, or the Hosted Service itself, labeled beta, preview, or early access. These are works in progress. They may change, break, or be discontinued without notice, may be incomplete, and carry no support or uptime commitment. Sections 8 and 9 apply to them in full. Do not rely on a beta feature for anything you cannot afford to lose.
16. Fees
The core widemem library is free and open source under the Apache License 2.0. Any paid hosted or support offering, if you purchase one, is governed by the fees and terms in a separate order form or written agreement.
17. Term and termination
We may suspend or terminate your access at any time for any reason, including breach. Sections that by their nature should survive (6b, 7-14, 19-20) survive termination.
If we terminate the Hosted Service or your access to it, other than for your breach, we will give you a reasonable opportunity, at least 30 days where practicable, to export your data. We delete your Hosted Service data within 90 days after termination, except where law requires us to keep it. Self-hosted data never touches us and is unaffected.
18. Changes to these Terms
We may update these Terms; material changes will be posted with a new "Last updated" date and, where required, notified to registered users. Continued use after changes means acceptance.
19. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute, subject to any mandatory consumer-protection rights that cannot be waived. Nothing here removes mandatory consumer-protection rights where they cannot be waived (for example for EU/UK consumers).
20. Miscellaneous
Severability. If any part of these Terms is unenforceable, the rest stays in force, and the unenforceable part is read as narrowly as needed to make it enforceable.
No waiver. If we do not enforce a provision, we are not giving up the right to enforce it later.
Entire agreement. These Terms, the Privacy Policy, and any order form or written agreement between us are the entire agreement and replace all prior discussions.
Assignment. We may assign these Terms, for example in a merger or sale. You may assign them only with our written consent.
Force majeure. Neither of us is liable for delay or failure caused by events outside reasonable control, such as natural disasters, war, terrorism, labor disputes, internet or utility failures, or government action. This does not excuse payment obligations.
Notices. Legal notices to us go to hello@widemem.ai. We may notify you by email, through the Hosted Service, or by posting on the Site.
